Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agentry platform, APIs, and related services ("Service") provided by Boiling Kettle Ltd ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Agentry provides email infrastructure for AI agents, including APIs for sending, receiving, and managing email programmatically. The Service includes inbox management, message handling, domain configuration, webhook delivery, and related functionality.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, including API keys. You must notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account.

5. Prohibited Uses

You may not use the Service to:

  • Send spam or unsolicited messages. You may not send unsolicited bulk email, unsolicited commercial email, or any messages to recipients who have not opted in to receive communications from you. All email sent through the Service must comply with applicable anti-spam laws, including the CAN-SPAM Act, GDPR, and CASL.
  • Engage in phishing or fraud. You may not send deceptive, misleading, or fraudulent messages, or messages designed to impersonate another person or entity.
  • Distribute malware or harmful content. You may not use the Service to transmit viruses, trojans, worms, malicious code, exploits, or any content designed to damage, disable, or gain unauthorized access to systems.
  • Harass, threaten, or abuse others. You may not use the Service to send threatening, harassing, abusive, defamatory, or hateful content.
  • Violate applicable laws. You may not use the Service for any activity that violates local, state, national, or international laws or regulations.
  • Impersonate or deceive. You may not misrepresent your identity, affiliation, or the origin of messages sent through the Service.
  • Interfere with the Service. You may not attempt to disable, overburden, or impair the Service, or interfere with any other party's use of the Service. This includes denial-of-service attacks, distributed denial-of-service attacks, and any attempts to disrupt service availability.
  • Bypass restrictions. You may not attempt to bypass rate limits, usage quotas, security measures, authentication mechanisms, or any other restrictions imposed by the Service.
  • Gain unauthorized access. You may not attempt to access systems, data, or accounts that you are not authorized to access.
  • Harvest data. You may not scrape, harvest, or collect email addresses or other personal information from the Service for purposes of sending unsolicited communications.

6. Anti-Spam Policy

We take a zero-tolerance approach to spam. All messages sent through the Service must:

  • Be sent only to recipients who have given verifiable consent to receive messages from you, or with whom you have a legitimate pre-existing relationship.
  • Include a clear and functioning unsubscribe mechanism where required by law.
  • Accurately identify the sender and include valid contact information.
  • Comply with all applicable anti-spam legislation in the jurisdictions of both the sender and recipient.

We actively monitor for spam and abuse. If we determine, in our sole discretion, that your use of the Service constitutes spam, threatens email deliverability or sender reputation, or violates this policy, we may immediately suspend or terminate your account without prior notice.

Delivery networks

Email sent through the Service is carried over third-party networks and delivery systems that sit outside our application. Those networks apply their own technical limits, security controls, and abuse policies. They may block, delay, throttle, or refuse messages without our involvement, and we do not control their decisions.

You agree to use the Service in a manner consistent with reasonable deliverability and compliance expectations, including keeping bounce and complaint rates within acceptable bounds. If your use results in elevated bounces or complaints, abuse reports, enforcement action by any carrier or regulator, or other signs of harmful or non-compliant behavior, we may suspend or terminate your access (with or without notice, consistent with these Terms), remove or restrict content, and cooperate with upstream providers or law enforcement as required or reasonably appropriate. You agree to cooperate with good-faith abuse or compliance inquiries from us.

7. Email Sending Limits

Your plan determines your daily sending limits and other usage quotas. You may not exceed these limits or attempt to circumvent them. We reserve the right to throttle or suspend sending if we detect unusual patterns or potential abuse.

8. Content Restrictions

You are solely responsible for the content of all messages sent through the Service. You must not send content that:

  • Infringes on intellectual property rights of any third party.
  • Contains illegal content or promotes illegal activities.
  • Violates the privacy rights of any individual.
  • Contains adult content sent to recipients who have not explicitly consented to receive it.

9. User Content

You retain ownership of all content you submit to or transmit through the Service. By using the Service, you grant us a limited license to process, store, and transmit your content solely as necessary to provide the Service.

We may review content and usage patterns to enforce these Terms, but we have no obligation to monitor all content or activity.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

11. API Usage

Access to the API is subject to rate limits and usage quotas as defined by your plan. You must not share API keys or allow unauthorized access to the API through your credentials. API keys that are compromised must be revoked immediately.

12. Fees and Payment

Certain features of the Service require a paid subscription. Fees are billed in advance on a monthly or yearly basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Without limiting the foregoing, spam, phishing, malware distribution, abuse of the Service, or conduct that harms or threatens to harm deliverability, reputation, or compliance for us or for the networks that carry mail for the Service constitutes cause for immediate suspension or termination. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

16. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.
